Marketplace Seller Agreement

This Marketplace Seller Agreement (“Seller Agreement”) governs your listing and sale of recipes in the ShopNChef Marketplace and is between you (“Seller,” “you”) and ShopNChef, Inc.. It supplements the Terms of Service and Acceptable Use Policy. By listing an item for sale, you accept this Seller Agreement.

1. Eligibility

To sell in the Marketplace you must have an account in good standing, be at least 18 years old, and complete onboarding with our payments partner, Stripe, including any required identity and tax verification. We may decline or revoke seller status at our discretion where required for legal, risk, or policy reasons.

2. Listings

You are responsible for the accuracy and completeness of your listings, including titles, descriptions, ingredients, images, and price. Listings must describe genuine, usable recipes and must not be misleading. You must hold all rights necessary to sell the content you list.

3. Prohibited content and conduct

You may not list or sell:

  • recipes or content you did not create or do not have the rights to sell (no plagiarism);
  • content that infringes any copyright, trademark, or other intellectual property right;
  • unsafe, unlawful, or intentionally misleading content; or
  • content that violates the Acceptable Use Policy.

Manipulating the Marketplace — including fake reviews, artificial ranking, or circumventing fees — is prohibited.

4. Pricing, fees, and disclosure

You set the sale price for your listings within any limits we publish. ShopNChef charges a 18% platform fee on each completed sale; you receive the remaining 82%. The platform fee is included in the price shown to buyers and is disclosed to you before you publish a listing and to the buyer before checkout. We may change the fee on prospective notice.

5. Payouts (Stripe Connect)

Payouts are handled through Stripe Connect. To receive funds you must create and maintain a Stripe Connected Account and accept the Stripe Connected Account Agreement during Stripe’s hosted onboarding. Stripe acts as the payment processor and money transmitter for Marketplace transactions; ShopNChef, Inc. facilitates the connection between buyers and sellers and does not take possession of buyer funds as a money transmitter. Payout timing, holds, and reserves are governed by Stripe’s terms.

6. Content ownership and buyer license

You retain ownership of the recipes you sell. By listing an item, you grant ShopNChef a license to display, market, and deliver it through the Service, and you grant each buyer a personal, non-transferable, non-exclusive license to view, cook, and use the purchased recipe for personal, non-commercial use only. Buyers may not resell or redistribute purchased content.

7. Refunds

All Marketplace sales are final. Refunds are not provided except where required by law or where an item is materially not as described. Where a refund is required, the corresponding platform fee and seller share are reversed accordingly.

8. Seller representations and warranties

You represent and warrant that:

  • you own or are licensed to sell all content you list;
  • your listings are accurate and do not infringe the rights of any third party;
  • you will comply with all applicable laws, including consumer-protection and tax laws; and
  • the information you provide during onboarding is true and current.

9. Taxes

You are solely responsible for determining, collecting, reporting, and remitting any taxes that apply to your Marketplace earnings. ShopNChef, Inc. does not provide tax advice. Where the law requires, we or Stripe may issue tax forms and report your earnings to the relevant authorities.

10. Delisting and enforcement

We may remove listings, withhold payouts, or suspend seller privileges if we reasonably believe a listing or seller violates this Seller Agreement, our other policies, or applicable law, or creates risk for buyers or the platform. Where practical and lawful, we will give notice and an opportunity to address the issue.

11. Term and termination

You may stop selling at any time. We may terminate or suspend your seller status for breach of this Seller Agreement. Obligations relating to completed sales, taxes, intellectual property, and indemnification survive termination.
