Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and ShopNChef, Inc. (“ShopNChef,” “we,” “us,” or “our”) and govern your access to and use of the ShopNChef mobile applications, website, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and account creation

You must be at least 16 years old to use the Service. This threshold reflects the strictest applicable minimum age across the regions we serve. When you create an account, you agree to provide accurate information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at support@shopnchef.com if you suspect unauthorized use.

2. The Service

ShopNChef lets you scan or import recipes, map ingredients to real products at participating grocery stores, build and check out grocery carts, follow guided cooking, and discover, buy, and sell recipes in the Marketplace. Features, partners, and availability may vary by region and change over time. Grocery orders are fulfilled by third-party stores and their delivery providers; we are not responsible for the availability, pricing, freshness, substitution, or quality of third-party products.

3. Acceptable use

Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to misuse the Service, interfere with its operation, attempt to access it by unauthorized means, or use it to violate the rights of others or any applicable law.

4. Your content and intellectual property

Recipes you create. You retain ownership of the original recipes, notes, photos, and other content you create and upload (“Your Content”). By posting Your Content, you grant ShopNChef a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, display, and distribute it solely to operate, promote, and improve the Service. You represent that you have the rights necessary to grant this license and that Your Content does not infringe the rights of any third party.

Marketplace recipes. Recipes offered for sale in the Marketplace remain the intellectual property of the seller. When you purchase a Marketplace recipe, you receive a personal, non-transferable, non-exclusive license to view, cook, and use that recipe for your own personal, non-commercial use. You may not resell, redistribute, sublicense, or publicly republish purchased recipes.

Our property. The Service itself — including its software, design, logos, and trademarks — is owned by ShopNChef, Inc. and its licensors and is protected by intellectual property laws. These Terms grant you no rights in our marks or software except the limited license described in our End User License Agreement.

Importing from social media. The Service can import a recipe from an Instagram or TikTok post you choose to share into the app. You may use this feature only for content you own or have the necessary rights to import, and your use must comply with the Instagram Platform Terms and the TikTok Developer/Community terms. ShopNChef does not scrape or bulk-collect third-party posts; the video you extract a recipe from is the one you upload or share. 5. Subscriptions, trials, and free tier

ShopNChef offers a free tier with core functionality and a paid Premium subscription that unlocks additional features. New users may be offered a 14-day Premium free trial. Unless you cancel before the trial ends, the trial automatically converts to a paid subscription at the then-current price. You can view pricing and manage or cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Subscription fees are billed in advance and, except where required by law, are non-refundable for partial periods.

6. Payments

Payments are processed by our third-party payment processor, Stripe, Inc. ShopNChef does not collect or store your full payment card number; we receive only limited tokens and transaction metadata from the processor. You authorize us and our processor to charge your selected payment method for subscriptions and Marketplace purchases you make. You are responsible for any taxes associated with your purchases except for taxes based on our net income.

7. Marketplace rules

The Marketplace lets creators list recipes for sale and lets buyers purchase them. ShopNChef charges a 18% platform fee on each sale; sellers receive the remaining 82%, disbursed through Stripe Connect. Sellers are responsible for the accuracy of their listings, for holding the rights to the content they sell, and for their own tax reporting. Detailed seller obligations are set out in the Marketplace Seller Agreement.

All Marketplace purchases are final. No refunds are provided except where required by applicable law or where a purchased item is materially not as described. The platform fee is included in the displayed price and is disclosed before checkout.

8. Termination

You may stop using the Service and delete your account at any time from within the app. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us, or use the Service in a way that harms other users or third parties. Upon termination, the licenses you granted for Your Content continue only to the extent necessary for backups, legal compliance, or content already distributed before termination. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) will survive.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ShopNChef does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, and does not provide medical, nutritional, or allergen advice. You are responsible for reviewing ingredient and allergen information before cooking or eating.

10. Limitation of liability

To the maximum extent permitted by law, ShopNChef, Inc. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or US$100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold ShopNChef, Inc. harmless from any claims, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, or your infringement of any third-party right, including claims related to content you post or sell.

12. Dispute resolution and governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. Before filing a formal claim, you agree to first contact us at legal@shopnchef.com so we can try to resolve the dispute informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts located in the governing-law jurisdiction, except where applicable law grants you the right to bring proceedings in your local courts.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the version number and effective date above and, where required, ask you to re-accept the Terms before continuing to use the Service. Your continued use after an update means you accept the revised Terms.
